2. Definitions and Interpretation

2.1. Key Definitions

“Account” or “Learner Account”: The personal account you create on the LeapSchool website to access our services.
“Course Content”: All educational materials provided on the Platform, including text, images, videos, audio, documents, and interactive sessions.
“Course Fees”: Tuition or fees you may pay to access certain courses or programs on the Platform.
“Platform”: The LeapSchool website, learning management system, communication channels, and any other digital services provided by us.
“Personal Data”: Information you provide to us (such as your name, email, address, payment details) and any data we collect through your use of our Platform.
“Privacy Policy”: Our policy that explains how we collect, use, and protect your Personal Data, is available on our website.

2.2. Interpretation Guidelines

Headings are for convenience only and do not affect the interpretation of these Terms.
References to the singular include the plural, and vice versa.
Unless the context requires otherwise, the terms defined herein have the meanings assigned to them.

3. Acceptance of These Terms

By using the LeapSchool Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. We may update these Terms from time to time, and your continued use of the Platform constitutes acceptance of any changes. If you do not agree with any part of these Terms, please discontinue use of our Platform immediately.

4. Learner Account and Registration

4.1. Account Creation
To access our services, you must register for a Learner Account. You agree to provide accurate, current, and complete information during the registration process and to update it as needed.

4.2. Security and Confidentiality
You are responsible for maintaining the confidentiality of your account credentials. Any activity under your account is your responsibility. Please notify us immediately if you suspect any unauthorized use.

4.3. Eligibility
Our Platform is available to individuals who are at least 18 years of age. If you are under 18, you must obtain parental or guardian consent to use our services.

5. Our Educational Services and Course Content

5.1. What We Offer
LeapSchool provides a variety of educational programs, including:

Fully Funded Study Abroad Pathways: Receive financial support (up to $100,000) to pursue global education.
Idea to Startup Programs: Participate in a 9-month training and incubation journey where we help fund and support innovative business ideas.
Career Launchpad Courses: Benefit from comprehensive job placement assistance, including CV and LinkedIn optimization, interview coaching, and direct access to job opportunities.
Additional Courses and Bootcamps: Engage in specialized training to stay ahead in your chosen field.

5.2. Course Content Usage
All Course Content is provided solely for your personal, non-commercial educational use. You agree not to reproduce, distribute, or modify any materials without our prior written consent.

5.3. Modifications to Content
LeapSchool reserves the right to update, modify, or discontinue any Course Content or feature on the Platform at our discretion. We will communicate significant changes to enrolled learners when possible.

6. Course Fees, Payment, and Financial Obligations

6.1. Payment Terms
Upon enrollment, you may be required to pay Course Fees as outlined in your course details. Payments are processed through secure, third-party payment processors, and by making a payment, you agree to their terms and conditions.

6.2. Refunds and Financial Support
Fees are generally non-refundable except as provided in our refund policy or as required by law. For certain programs (such as our fully funded Study Abroad Pathway), specific financial arrangements, including loan terms, will be detailed separately.

6.3. Your Financial Commitment
Timely payment of Course Fees is required. Failure to meet your financial obligations may result in restricted access to Course Content or termination of your Learner Account.

7. Intellectual Property Rights

7.1. Ownership
All intellectual property rights in the Platform and Course Content belong exclusively to LeapSchool. This includes all text, images, videos, software, and other materials provided to you.

7.2. Limited License
We grant you a non-exclusive, non-transferable license to access and use the Course Content solely for your personal educational purposes. This license is revocable at any time if you fail to comply with these Terms.

7.3. Restrictions on Use
You may not modify, reproduce, or create derivative works from the Course Content without our express permission. Any unauthorized use may result in legal action.

8. User-Submitted Content and Interaction

8.1. Your Content
Any content you post or submit on the Platform (e.g., comments, assignments, feedback) remains your property. However, by submitting such content, you grant LeapSchool a worldwide, royalty-free license to use, modify, and distribute it for promotional, educational, and operational purposes.

8.2. Community Interaction
We encourage respectful and constructive participation in all interactive sessions and community discussions. You are responsible for ensuring that your contributions do not violate any laws or infringe on the rights of others.

9. Live and Interactive Sessions

9.1. Guidelines for Participation
Live sessions, webinars, and interactive classes are integral parts of our educational offerings. You agree to:

Participate actively and respectfully.
Use the sessions solely for learning purposes.
Refrain from any behavior that disrupts the session or the Platform’s operation.

9.2. Consequences of Misconduct
Any disruptive or abusive behavior during live sessions may result in immediate removal from the session or suspension of your access to the Platform.

10. Default, Termination, and Suspension

10.1. Event of Default
An Event of Default occurs if you:

Fail to pay Course Fees as agreed.
Do not actively participate in the required assignments, projects, or sessions.
Violate the Code of Conduct or these Terms in any other way.

10.2. Termination of Access
In the event of a default, LeapSchool reserves the right to suspend or terminate your Learner Account and revoke your access to the Platform and Course Content without prior notice.

10.3. Legal Remedies
In addition to account termination, LeapSchool may pursue any legal remedies available to recover unpaid fees or address breaches of these Terms.

11. Indemnification

You agree to indemnify, defend, and hold harmless LeapSchool, its affiliates, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Limitation of Liability

To the fullest extent permitted by law, LeapSchool shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform or inability to use our services. Our total liability shall not exceed the amount you have paid for the Course Content in question.

13. Governing Law and Dispute Resolution

13.1. Governing Law
These Terms are governed by and construed by the laws of Nigeria, without regard to its conflict of law principles.

13.2. Dispute Resolution
Any disputes arising out of or in connection with these Terms shall first be resolved through friendly negotiations. If a resolution cannot be reached within 30 days, the dispute will be submitted to binding arbitration in Nigeria, by the applicable arbitration rules. Each party will bear its costs, and the arbitrator’s decision shall be final and binding.

14. Amendments and Updates

LeapSchool may update these Terms from time to time by posting a revised version on our Platform. It is your responsibility to review these Terms periodically. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms.

15. Entire Agreement

These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and LeapSchool regarding your use of the Platform. They supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.
